The transaction is being completed through an acquisition vehicle established with Amaya Capital, Azura's founding partner.

Azura operates 752MW across three markets: the 461MW Azura-Edo plant in Nigeria, the 116MW Tobene plant in Senegal and the 175MW CTRG facility in Mozambique. The assets are backed by long-term power purchase agreements and provide roughly 10% of grid baseload power in each host country, according to the company.

The more important strategic element is the development pipeline. Azura has more than 1.5GW of projects under development across gas, renewables and battery energy storage. That gives ePointZero not only operating assets but a platform for deploying additional capital as African electricity demand and infrastructure requirements grow.

For TEN, the key signal is platform acquisition rather than individual asset acquisition. ePointZero is acquiring an operating platform with contracted cash flows, established market positions and a sizeable pipeline, allowing Abu Dhabi capital to build a larger long-term position in Africa's power infrastructure.
